Governance in Practice: Effective Board Meetings

If you've listened to all the episodes thus far, you should have a good understanding of what governance is and what the board is meant to do. In this episode, I start to get more practical. That is, how does the board fulfill its strategic and conformance functions. I focus this episode around board meetings as that is, predominantly, where the board makes its decisions. But effective board meetings are not just about what happens from when the meeting is opened and when the meeting ends. Important work is done both before and after any board meeting. If you're an experienced director or new to governance, this episode should leave you with something new to help improve your board.

Minding the Shop: The Conformance Function

In the previous episode, I outlined the board's strategic function. In this episode I switch the focus to the conformance function. Conformance is about accountability. Accountability in governance is exercised through ensuring compliance, monitoring and evaluation, and maintaining control. Ultimately, a board exercises its conformance function to ensure the organisation can continue to work toward its mission.

Creating the Future: Governing as Strategy

The effects of professionalisation and commercialisation has changed the role of the board from operational to governing. Governing boards have two primary functions. In this episode, I talk about the board's strategic function. How can you differentiate strategy from operations? Why is strategy important? What are the levels of board strategic activity and what is needed for boards to be strategic? Finally, why do boards get it wrong?

Structures: The Framework of Governance

Sport governance is the process of oversight and direction of a sport organisation. But who gets to govern? Governance structures outline how authority is delegated from the members of an organisation to the board. In this episode, I map out the different elements of governance structure and how they create the framework for governance to occur.
